When registering a company, you should prepare some information beforehand to make the
process as smooth as possible.
Company Name
- Your proposed company name must be approved by ACRA (Accounting and Corporate
Regulatory Authority) before commencing the incorporation process.
Director(s)
- The directors must fulfill the following requirements:
- At least one ordinarily resident in Singapore (i.e. Singapore Citizen, a Singaporean Permanent
Resident or a person who has been issued an Entrepreneur Pass, Employment Pass or
Dependent Pass by Ministry of Manpower who is deemed qualified to act as a director). - At least 18 years of age and who is otherwise of full legal capacity.
- Not an undischarged bankrupt (unless he gets permission from the High Court or the
Official Assignee); - Not under disqualification orders made by the Court;
- Not convicted of specified offences or offences involving fraud or dishonesty punishable
with imprisonment for three months or more. (The disqualification is for five years from the
date of conviction of the relevant offence, or, where the person has been sent to prison, from the date of release).
- At least one ordinarily resident in Singapore (i.e. Singapore Citizen, a Singaporean Permanent
- No maximum limit on the number of local or foreign directors.
- No requirement for a director to own shares in the company.
Shareholder(s)
- Minimum of 1 to maximum of 50 shareholders.
- Can be the same person as the director.
- Can be a natural person or legal corporate entity or trust.
- Can be 100% local or foreign owned.
- New shares can be issued or existing shares can be transferred to another person or legal
entity at any point of time after the company is incorporated.
Appointment of Company Secretary
- Company Secretary must be appointed within 6 months from the date of its incorporation to
comply with Section 171 of the Singapore Companies Act (Chapter 50). - A sole director cannot be the Company Secretary.
- Company Secretary must be a resident in Singapore.
Share Capital
- Minimum share capital is SGD1.00
- Paid-up or share capital can be increased at any point of time after the company is
incorporated.
Registered Office Address
- Must be a local Singapore address and need not be the usual business address.
- Must be a physical private residential or commercial address.
- No P.O. Box address is allowed.
Business Licenses and Permits
- Depending on the business that you wish to operate, business permits or licenses may be
required to conduct a specific type of business. This is especially relevant when you offer
professional services such as doctors, lawyers, accountants, pilots or commodity future
traders that need an occupational license. If you are operating an educational institution, food &
beverage business, real estate company, import and export business, financial services, travel
agencies, childcare centre, foreign worker employment agencies or spa, you will also need to
apply for a compulsory license or permit for operating the business.
